Class A,B,C Common Stock
   
 


Class A Common Stock

Class A Common Stock is the major common stock of Toks, Inc. priced at $250 per share and will be issued out to conduct acquisitions of major publicly traded entities around the globe only. The stock will not be sold by Toks, Inc. (except for rights offering) but shareholders and investors alike will command the luxury to sell the common stock after the closing of the proposed exchange tender offers like any other publicly traded entity that allows sale of its shares by their shareholders at any given time. The stock will be listed all over the world in major stock exchanges. Class A Common Stock will receive dividends from all corporate entities created to finance projects regarding fight against global poverty and assist in global economy recovery. 4,000,000,000,000 (4 Trillion) common shares will be registered.

Class B Common Stock

Class B Common Stock is designed for one purpose to conduct the sale of these shares through the largest IPO of its kind to raise $5,000,000,000,000 ($5 Trillion). No dividends will be paid on this stock and it would be priced at $50 per share. We will start drafting the registration statement of this IPO as soon the $2,000,000,000 in capital is disbursed by our backer in Nigeria. The stock will be listed all over the world on major stock exchanges around the globe. 150,000,000,000 (150 Billion) common shares will be registered with mandatory agenda to sell 100,000,000,000 (100 Billion) shares to investors in the IPO.

 Class C Common Stock

Class C Common Stock emerged through an idea that all publicly traded entities we will target are not trading as well to receive our Class A common stock for acquisition. So we came up with Class C common stock. The price is $25 per share. There are two purposes this very common stock will serve; 1) This stock will be used to acquire publicly traded entities that are trading very low in stock. Example is in Nigeria, most publicly traded entities trade at the currency which the rate is very low compared to major currencies like Sterling Pound, U.S Dollar, Euro, etc. So, what will happen is we use the Class C Common stock to acquire some entities in Nigeria and some other countries we want to acquire. The stock will be listed around the globe. No dividends---we are already paying heavy premium. For example First Bank of Nigeria is trading at 24 Naira per share and to our estimate that’s 8 cents in U.S. currency. We are prepared to pay registered $25 per share USD stock as in 1-For-1 to shareholders of First Bank of Nigeria. We wil apply this around the globe. This will apply to any Company trading very low. If that’s not heavy premium, what is? 2) We will use this very stock to conduct compensation to employees as well. What we will do is as soon as we received the $2 billion from our backer in Nigeria, we will file registration statement to register Class C Common Stock. At this stage we don’t know how many numbers of shares we will register, but we are looking at least 500,000,000,000 (500 Billion) shares.


Tracking Stock(s)

We will entertain “tracking stock” issues for our major operations as in wholly-owned subsidiaries. For example, Wal-Mart Stores, Inc. will be acquired by us and renamed "Toks Giant Stores" because some of the acquisition will reflect the Company's brand name as in "Toks" so we will issue a “tracking stock” for "Toks Giant Stores," as wholly-owned subsidiary.


Rights Offering(s)

We will entertain conducting rights offering(s) to all of our shareholder holding all three Classes of our Common stock as in Class A, B,C. Each rights offering be conducted on all of our three Classes of our Common stock as in Class A,B,C. This will allow each shareholder that wants to entertain the opportunity to own stock they don’t already have. A Class C common shareholder can get the opportunity to own Class A common shares. A Class A common shareholder can get the opportunity to own Class C common shares. A Class B common shareholder can get the chance to own Class A common shares.
